End-User License Agreement (“Agreement”)

Interpretation and Definitions

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

• Agreement — this End-User License Agreement that forms the entire agreement between You and the University regarding the use of the Application.
• Application — the software program provided by the University downloaded by You to a Device, named Teoreler.
• University — The University of Liverpool, an exempt charity and body incorporated by Royal Charter (RC000660), acting through its Centre for Excellence for Long-acting Therapeutics (‘CELT’).
• Content — any text, images, or information that can be uploaded, linked, or made available by You.
• Country — United Kingdom.
• Device — any computer, mobile phone, or tablet that can access the Application.
• Third Party Services — services or content provided by a third party that may be displayed, included, or made available by the Application.
• You — the individual or organization accessing or using the Application.

Acknowledgment

The Application and the information on this site are © University of Liverpool — All Rights Reserved. By using Teoreler, You agree to be bound by this Agreement. If You do not agree, do not use or download the Application.

Scope of License

The University grants You a revocable, non-exclusive, non-transferable, limited license to use the Application strictly in accordance with this Agreement. This license is for personal, non-commercial use only.

• Distribution, resale, or hosting is not permitted.
• Modification or reverse engineering is prohibited.
• All content generated remains your responsibility.

Third Party Services

The Application may include links or content from third party services. The University is not responsible for their accuracy, legality, or availability. You use such services entirely at your own risk and in accordance with their own terms.

Term and Termination

This Agreement remains in effect until terminated by You or the University. The University may terminate it without notice if You fail to comply with any terms. Upon termination, You must delete all copies of the Application.

Indemnification

You agree to indemnify and hold the University and its affiliates harmless from any claim arising from your use of the Application or violation of this Agreement.

No Warranties

The Application is provided “AS IS” without warranty of any kind. The University disclaims all implied warranties including merchantability and fitness for a particular purpose. Some jurisdictions may not allow such exclusions, in which case they apply to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, the University shall not be liable for any indirect, incidental, or consequential damages, including data loss, interruption, or loss of privacy arising from the use of this Application.

Severability and Waiver

If any provision is found unenforceable, it shall be adjusted to achieve its purpose as closely as possible; the remainder shall remain in effect. Failure to enforce any provision shall not be deemed a waiver of future enforcement.

Product Claims

The University does not make any warranties concerning the Application.

Changes to this Agreement

The University reserves the right to modify this Agreement at any time. Material changes will be announced 30 days before taking effect. Continued use of the Application constitutes acceptance of the revised terms.

Governing Law

This Agreement shall be governed by the laws of the United Kingdom.

Entire Agreement

This Agreement constitutes the entire agreement between You and the University concerning the Application and supersedes all prior agreements.
